1. Acceptance

By creating an account or using TapShift (the "Service"), operated by Umbrella Marketing Co. ("we," "us," or "our"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

TapShift provides short URL generation, click tracking, UTM-annotated redirects, conversion attribution, and affiliate commission tracking. The free tier generates links with no signup; signing up unlocks a personal dashboard, conversion analytics, and earnings tracking.

3. User Accounts

You are responsible for your account credentials, your short links, and any activity under your account. You must provide a valid email address and are responsible for keeping your password secure. Notify us immediately at support@umbrella-marketing-co.com if you suspect unauthorized access.

Commissions are tracked server-side via our redirect endpoint (every /r/:code tap is recorded in link_events) and reconciled against conversion_events and commissions. We pay out via Stripe-connected accounts and reserve the right to withhold commission on fraudulent or self-generated conversions.

6. Intellectual Property

The Service, its branding, dashboard UI, and analytics logic are owned by Umbrella Marketing Co. Your links, your analytics, and your earnings data remain yours. You grant us a limited license to process clicks on your links solely to operate the Service.

7. Termination

You may delete your account at any time by emailing support@umbrella-marketing-co.com. We may suspend or terminate accounts that violate these Terms. On termination, your links will stop resolving and your click data will be retained per our Privacy Policy.

8. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee uptime, uninterrupted click tracking, or that commissions will always reconcile to a specific value. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, Umbrella Marketing Co. will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including lost commissions, lost profits, or loss of data, even if we have been advised of the possibility of such damages.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes will be resolved in the state or federal courts located in Delaware.
